SERIES 63 - Uniform Securities Act


This Series 63 exam is the same in every state and is required by some states to activate a Series 6 license. The Series 63 exam has 65 questions, a 1 hour and 15 minute time limit and a 70% passing grade. If you hold a Series 7 license you should obtain a Series 66 license, which is a combination of a Series 63 and Series 65, and will allow you to charge a commission for a securities sale and a fee for investment advice given.

Series 63 Exam Information & Overview (Uniform Securities Act)


The Series 63 Exam (Uniform Securities Agent State Law Examination) was developed by the North American Securities Administrators Association (NASAA) in cooperation with representatives of the securities industry and industry associations. The examination, called the Series 63 exam, is designed to qualify candidates as securities agents. The examination covers the principles of state securities regulation reflected in the Uniform Securities Act (with the amendments adopted by NASAA and rules prohibiting dishonest and unethical business practices). The examination is intended to provide a basis for state securities administrators to determine an applicant's knowledge and understanding of state law and regulations.


Why would you need to take the Series 63 exam?

Some states require that individuals obtaining either a Series 6 or Series 7 license also obtain a Series 63 license by passing the Series 63 exam. The Series 63 exam is based on the Uniform Securities Act. The Uniform Securities Act contains state securities laws. The Series 6 and Series 7 exams contain content based on federal securities laws while the Series 63 exam is based on the state securities laws (Uniform Securities Act) which are in some cases different than federal regulations. Although the Series 63 exam is based on state securities laws (which may be a little different from state to state) the Series 63 exam is exactly the same in all states.

Who writes the Series 63 exam?

As mentioned above the Series 63 exam questions are written by the North American Securities Administrators Association. For this reason the Series 63 exam has a much different feel than either the Series 6 or Series 7 exams which are written and administered by FINRA (Financial Industry Regulatory Authority - formerly NASD). The Series 63 exam is administered by FINRA under contract of the NASAA.

Does your state require the Series 63 exam?

Not all states require the Series 63 license. Generally, your company will not require you take the Series 63 exam if your state does not require the license. However, sometimes your company will have you obtain your Series 63 license even though your state does not require it. This is usually the case when you are going to be selling in multiple states.


Should you take the Series 63, Series 65 or Series 66 exam?

This is a very common question as these exams are all very similar and share a lot of content. If required in their state, most registered representatives who obtain the Series 6 license also obtain the Series 63 license. Passing the Series 63 exam will activate your Series 6 license and allow you to charge a commission for the sale of Mutual Fund shares in the primary market and variable insurance products, including annuities.

If a licensed Series 6 and Series 63 registered representative also wants to charge a fee for investment advice in addition to a commission for a sale they would then need to take and pass the Series 65 exam (Investment Advisor exam). Any individual can take the Series 65 exam. There is no co-requisite licensing requirement. However, if you only obtain a Series 65 license you will be unable to sell securities and charge a commission on the sale. This license will only allow you to charge a fee related to investment advice.

The Series 66 exam can only be taken by an individual who either has a Series 7 license or plans on obtaining a Series 7 license. The Series 66 license covers the same content as the above mentioned Series 63 and Series 65 exams. The Series 66 license will allow a Series 7 licensed registered representative to charge a commission on securities sales and also a fee for investment advice rendered. If a Series 7 licensed registered representative obtains the Series 66 license they are not required to take either the Series 63 or Series 65 exam. However, if a Series 7 licensed registered representative already has a Series 63 license they have the option to either take the Series 65 or Series 66 exam to become an investment advisor.


What do the question on the Series 63 exam look like?

Here are two Series 63 exam questions that come from our materials that are very similar to the formatting and content of the questions on the real exam:

    2. Federal covered Investment Advisors

  2. Under the USA, which of the following new securities are considered to be non-exempt:

    1. Stock of a public utility
    2. Stock of a bank holding company
    3. Preferred stock or bonds of a company listed on the NYSE
    4. Commercial paper that matures within 9 months that is issued in denominations of at least $50,000 and is rated in one of the 3 highest rating categories

  1.    D    Don't confuse an IA firm with an IAR, who works for the firm. They are two separate categories of registration. Lawyers, accountants, teachers and engineers are excluded from the definition as long as their advisory services are solely incidental to their professional practices. However, broker/dealer firms who charge a separate fee for their advisory advice must register as IA firms. Federal covered advisors must register with the SEC, not the state.
  2.    B    Although stock of a bank is considered to be exempt, stock of a bank holding company is non-exempt. A bank holding company is a large corporation that holds the controlling interests in several banks.

How you should take the Series 63 exam?

The most important tip we can give you is to READ THE QUESTION! This most likely sounds pretty stupid. However, I would imagine as you have studied for the Series 63 test you have missed many questions simply because you did not read them correctly. Read the question twice before even looking at the answers, then read every answer before picking which one you think is correct. Answer A may look good, but answer D may be better.

NEVER pick an answer you have not heard of. They will make words up on the Series 63 exam that do not even exist. If it has not been covered in our Series 63 online video exam prep course, it is not a correct answer on the exam.

Only mark those questions for review you really don't know the answer to, or you have narrowed it down to two possible correct answers. DO NOT review the full exam once you have completed it. In our experience if you review the full exam you may get confused and start changing answers. Your first selection is your best. Only review those questions you have marked for review.


Here are the SECRETS to passing the Series 63 exam:

The following Series 63 secrets will teach you how to attack the most difficult Series 63 exam question formats. The two following sample Series 63 exam question formats are presented directly from our Series 63 online video course:

Question format #1 - The double negative EXCEPT question

Under the Uniform Securities Act, registration requirements for agents may include all of the following, EXCEPT:

  1. A Consent to Service of Process
  2. Minimum net capital
  3. An examination
  4. Surety bonding

How to attack this question: These EXCEPT questions are very difficult for your brain to interpret. Here is why. You have never encountered exam questions in your entire testing lifetime that were worded this way. For example, if the above question was on a test you took back in school it would be worded the following way:

Under the Uniform Securities Act, registration requirements for agents do NOT require:

However, on the Series 63 exam most of the questions are not straight forward and are written in a format that is very confusing. The most important word in the question above is EXCEPT. When you see the word EXCEPT it means the correct answer to the question is actually the opposite of what the question is stating.

Remember that you must READ THE QUESTION at least twice to determine what the question is asking prior to looking at the answers. So, which of those answers listed is NOT a requirement for registration as an agent under state law (Uniform Securities Act)? The correct answer is B since minimum net capital may be required of broker/dealers and investment advisers, but not agents.

These questions are great because they give you three true statements that may help you answer another question within the Series 63 exam (answers A, C and D).

Question Format #2 - The dreaded roman numeral question

With regard to the Investment Advisers Act of 1940, which of the following persons does not have to register as an investment adviser?

  1. A Broker/dealer who gives advice and charges a specific fee for that advice
  2. Agent of a broker/dealer who gives investment advice within the course of his or her duties and charges a fee for that advice
  3. Broker/dealer who gives investment advice that is incidental to the course of his or her business
  4. Attorney who writes a legal opinion of counsel for a municipal bond
  1. I, II and IV
  2. III only
  3. III and IV
  4. All of the above

How to attack this question: When you encounter this question write down the roman numerals and answers on your scratch paper then read through the first roman numeral response and determine if it will be in the correct answer or not.

On your scratch paper after you read through response I above you would write no since response I will not be in the answer (A B/D that charges a separate fee for giving investment would have to register as an IA). Then you can look at the answers. LOOK AT THE ANSWERS ABOVE. Since answer A and D both have roman numeral I in it you already know they are not the correct answers. You can now eliminate answers A and D as the correct answer. You have now significantly increased your chances of getting the answer correct. You can now move on to roman numeral IV since the only answers left (B and C) both include roman numeral III. Is roman numeral IV going to be in the correct answer? Yes (attorneys whose performance of services is solely incidental to the practice of their profession are exempt from the definition of investment adviser). Knowing this rules out answer B since you now know III & IV are both going to be in the correct answer and answer B only lists III. There you have it! THE CORRECT ANSWER HAS TO BE C!!

Once you have mastered the Series 63 exam question techniques outlined above you will significantly increase your chances of passing the exam the first time and obtaining your Series 63 license.
